A properly executed due diligence exercise can greatly boost the success rate of an M&A transaction, a joint-venture deal, or even a sourcing or distribution arrangement in China . Unfortunately, conducting due diligence in China is often times a very difficult task. The lack of reliable and accurate public records, dubious corporate book keeping practices, different accounting standards, and Chinese managers' general reluctance to reveal corporate information all impede any serious investigative efforts.

We would often make a "go/no-go" recommendation before our clients need to commit any resources to retain attorneys and accountants to carry out detailed due diligence work. • Leverage our in-depth country (regional and industry) knowledge to quickly identify "problem areas" of the target companies

• Single-mindedly focus on the integrity and quality of the management team of the target companies

• Assign our most senior Shanghai-based Chinese managing directors to conduct (multiple rounds of) interviews with the senior executives of the target companies

• Establish (when appropriate) an expanded outsider interview list, which may include, in addition to major customers and suppliers, government officials and community stakeholders
